THESE TERMS AND CONDITIONS ("TERMS" OR "AGREEMENT") ARE A LEGAL AGREEMENT BETWEEN USER ("YOU" OR "YOUR") AND RICHMAN HOUSE, REGISTRATION NO.: 778540, ADDRESS: TOWER A, THE OPUS BY OMNIYAT, BUSINESS BAY, DUBAI, UAE, ACCORDING TO LICENSE NO.1018620 ("COMPANY", "PLATFORM", “WE” “US”, OR "OUR"), COLLECTIVELY REFERRED TO AS THE “PARTIES”. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SITE.

hese Terms apply to your access and use of the Richman House Business Center corporate website and any other websites or applications operated by Richman House Business Center that links to these terms (“Website”). By accessing the Website and/or using the Services, the user agrees on behalf of an individual or legal entity to comply with the terms of this agreement. For the purposes of the Agreement, the following terms are used with the following meanings:

Affiliate in relation to a person means any other person who: (a)directly or indirectly controls the first-named person, or is controlled by the first-named person; or (b)directly or indirectly controlled by a person who also directly or indirectly controls the first-named person. A person controls another person if such person has the right, directly or indirectly, through one or more intermediaries or in another way, to determine decisions made by the management of another person, including through the ownership of shares or other participation in the share (authorized) capital of such person, ownership by voting rights or any rights under the Agreement, or by acting as the main partner of the company or otherwise.


1.3. Agent means an individual, organization or any other person who, on behalf of the Company and on their own behalf, but at the expense of commissions received in the process of their activities, and in the interests of the Company, enters into agreements with interested parties for the provision of services aimed at carrying out civil transactions with Richman House real estate objects, carries out business contacts, negotiates with users, monitors compliance with the conditions provided for by concluded agreements, ensures the protection of the user's interests by explaining the rights and obligations, as well as the legal consequences of the transaction, represents the rights and legitimate interests of all parties to the transaction, verifies the accuracy information about legal entities and individuals – parties to the transaction, advertises the company's objects within the framework of an agreement for the provision of agency services on the terms agreed with the Company, does not disclose information obtained in the course of the transaction, except as otherwise provided by law, as well as takes part in the development of proposals for improving the activities of the Company.

1.4. Visitor is any third party who is not a party to the Agreement or a representative of a party to the Agreement who is legally admitted to the Richman House Business Center facilities.


1.5. Аdministrator is the authorized representative of Richman House Business Center, who is entrusted with management functions by special order.

1.6. Agreement means these Terms and Conditions and any other documents incorporated by reference into it.

1.7. Account means the User's account, which is created when an individual, organization, or other person is registered on the site, which is necessary to access and use the relevant Services.


1.8. Registration is the process of creating a new User account in order to gain access to the Account by entering credentials in the registration form on the Website.

1.9. Personal Information is any information related to an identifiable individual, organization, or other person, unless otherwise specified in accordance with applicable legislation on the protection of individuals, the processing of such information, and security requirements for the free movement of such information.

1.10. Confidential information is any information about persons, objects, facts, events, phenomena and processes, regardless of the form of their presentation, constituting a bank, official and commercial secret and/or information of any nature (production, technical, economic, organizational and others), including the results of intellectual activity, as well as information on the methods of carrying out professional activities that have actual or potential commercial value due to their unknown to third parties, to which there is no free access on a legal basis, protected in accordance with the laws applicable in particular zone where certain Richman House Business Center is located, as well as documents of the Parties on protection of confidential information. The results of extracts, processing, generalizations, analytical calculations or other use of Confidential Information are also Confidential Information subject to protection under the terms of the Agreement.

1.11. Services mean the publicly available Richman House Business Center offerings, including any services provided on the Richman House Business Center website, any local components (eg, client software or marketing tools), updates, as well as technical support services. Richman House Business Center may update the Services at any time in its sole discretion.

1.12. Object is a type of Richman House Business Center real estate, including office spaces, meeting rooms, event spaces, and other facilities available for reservation, booking, renting and payment on the Richman House Business Center website.

1.13. Booking means ordering, purchasing, or paying for an Object or Service.

1.14. Tariff package is a payment charged when using, reserving, booking objects and/or services on the Platform.

1.15. Richman House Business Center means the company Richman House Business Center in UAE, the online platform, the application, and any other websites operated by the company.



2. SERVICE OVERVIEW


2.1. We (Richman House Business Center and its affiliates) provide an online platform through which Users can find properties (offices, meeting rooms, event spaces) and related services, reserve, rent, and pay for them, while Company Agents can advertise, market, sell and/or offer objects and services for ordering, booking and renting by Users. By using the Service (i.e. by making a Booking via the Website), you enter into a direct (legally binding) contractual relationship with Richman House Business Center from which you reserve or lease an object or service.

2.2. Agents who act as individuals or legal entities on our Platform on the basis of the information we have, operate as professional landlords in accordance with the laws applicable in a particular zone where certain Richman House Business Center is located. The category “individual and/or legal entity” is only needed for the purposes of enforcing laws applicable in a particular zone where certain Richman House Business Center is located, and/or national consumer protection legislation and is not related to taxation, including VAT and any other indirect taxes levied in connection with value added or sales and/or using the services.


3. RIGHTS

3.1. Richman House Business Center reserves the right, at its sole discretion, to suspend, restrict or terminate the User's access to the Platform, as well as to cancel the reservation and/or participation of any person on the Platform in the event of abuse, such as a violation of these Terms and/or the use of invalid credit/debit card. Richman House Business Center reserves the right, at its sole discretion, to suspend, restrict or terminate the User's access to the Platform, as well as cancel the booking and/or participation of any person on the Platform who behaves in an inappropriate manner, for example, commits violence against Richman House Business Center and/or any other person, threatens them, harasses, discriminates, offends them or carries out fraudulent actions against Richman House Business Center (or its employees or agents) and/or Users (or their representatives, employees or agents).

4. PAYMENT

4.1. Richman House Business Center may offer the option to pay for the Booking (in whole or in part) in accordance with this agreement in the process of Booking via secure online payment (depending on the support of this function by your bank). For some properties and services, Richman House Business Center will charge (through a third-party payment provider) payment for the related property or service. Secure payment is made through a third party payment provider from your credit/debit card or from your bank account to the Richman House Business Center account. Each payment that we process and that is transferred to our account is a payment for the value of the object or service you have booked and is taken into account in the final settlement. The payment made is non-refundable.

4.2. Please note that for certain (non-refundable) rates or special offers, Richman House Business Center may require payment in full by bank transfer (if applicable) or credit/debit card, so your credit/debit card may be pre-authorized or funds may be charged (sometimes without the possibility of a refund) when Booking. Please check the booking details of the property or service before proceeding with Booking. Richman House Business Center is not responsible for any (authorized or possible unauthorized or erroneous) debiting of funds by the Platform from your bank card and does not return any amounts lawfully debited or previously blocked by the Platform (including prepayment, the penalty for non-use of the facility or cancellation of booking) on your card.

4.3. In the event that your credit/debit card has been misused or misused by third parties, most banks and credit/debit card companies will cover and pay for all losses caused by such misuse of a credit/debit card (sometimes minus a certain amount or equivalent in local currency). Richman House Business Center is not liable to you if your bank card is used illegally through no fault of yours.


5. PERSONAL INFORMATION

5.1. If the use of the Website involves the collection of personal data, such personal data is stored and processed in accordance with the principles and rules for processing personal data in a particular zone where certain Richman House Business Center is located, expressed consent to the processing of personal data by the User, as well as by this Agreement.

5.2. The processing of personal data is carried out by the Company on the basis of the following principles: a)the legality of the purposes and methods of processing personal data; b)the compliance of the purposes of processing personal data with the purposes predetermined and declared when collecting personal data; c)the correspondence of the volume and nature of the processed personal data and methods of their processing to the purposes of processing personal data; d)the accuracy and relevance of personal data, their sufficiency for the purposes of processing, and the inadmissibility of processing personal data that are redundant in relation to the purposes stated when collecting personal data; e)inadmissibility of combining databases containing personal data created for incompatible purposes.

5.3. As part of the execution of this Agreement, when using the Website using various methods, means, and tools of Internet statistics and settings – in particular, cookies, Google Analytics, and Yandex.Metrica services – user data is processed, such as the date and time of visit; the number of visited pages, their names, as well as the duration of viewing; the IP address assigned to the user device to access the Internet; type of user's browser and operating system; URL of the site from which the transition was made.

5.4. The aforementioned data is processed by the Company in order to ensure the stable operation of the Website, improve the user experience, improve the ways and methods of presenting information on the Website, as well as keep statistics of Website visits and identify the most visited pages of the Website.

5.5. By using the Website, the User agrees to the processing of user data using the aforementioned methods, means, and tools of Internet statistics and settings, including cookies, Google Analytics, and Yandex.Metrica services. If the User does not want the listed data to be processed, then they should disable the processing of cookies and the collection of user data in the settings of their browser (in this case, some functions of the Website may become inaccessible to the Users), or leave the Website.

5.6. With regard to personal data, their confidentiality is maintained. The processing of personal data by persons who are not admitted to their processing in the prescribed manner is not allowed.

5.7. In the event that the User decides to delete their Account, Richman House Business Center has the right to keep archived backups of all the User's personal data for 5 years, starting from the date of deletion of the Account. We will continue to comply with the relevant provisions of this Data Protection Agreement until such data is deleted.


6. USER OBLIGATIONS

6.1. The User can use the Website only for their own personal, non-commercial purposes and agrees not to take actions that may be considered as violating the UAE legislation or international law, including in the field of intellectual property, copyright and/or related rights, generally accepted moral standards and morality, as well as any actions that lead or may lead to disruption of the normal operation of the Website.
6.2. Unless otherwise stated in this paragraph, you may not: (a)copy, reproduce, in any way modify, correct or distort the Website, Services or any part thereof; (b)sell, display, distribute, publish, broadcast, transmit or in any other way distribute or transmit the Website, Services or any part of them to any individual or legal person; (c)create derivative works based on the Website or Services; or (d)engineer, decompile or disassemble (except as expressly permitted by applicable law) any software used on the Website or Services.
6.3. When citing materials from the Website, including protected copyright materials, a link to the Website is required.

7. WARRANTIES AND WARRANTY DISCLAIMER

7.1. This Website and Services are provided “as is”, without warranty of any kind, either express or implied, to the fullest extent permitted by law.

7.2. Richman House Business Center is not responsible and has no direct or indirect obligations to Users and third parties in connection with any possible or incurred losses associated with any materials on the Website or their use, or materials obtained through external sites or resources contained on the Website.

7.3. Richman House Business Center is not responsible for any losses incurred by users of the Website due to reasons related to technical failures of hardware and software, as well as losses incurred as a result of actions of Users that clearly do not comply with the usual rules for working with information on the Internet.

7.4. Richman House Business Center makes no representations or warranties about the use of materials on this Website or Services in terms of their reliability, accuracy, sufficiency, usefulness, timeliness, reliability, etc.

7.5. Richman House Business Center makes no representations or warranties that the functionality or services of this Website will be provided uninterruptedly, without errors, that deficiencies will be corrected, or that this Website or the server that maintains access to the Website does not contain viruses or other dangerous elements.


8. LIMITATION OF LIABILITY
